Terms of service

Focalgrain is a brand of AYSUNOVA L.L.C-FZ, a limited liability company licensed in the Meydan Free Zone, Dubai, UAE, licence number 2650930.01, registered at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. "We", "us" and "Focalgrain" mean that company. "You" means the visitor or the client.

• The site describes our services. Prices shown are indicative until we confirm them in a written quote.
• The quiz gives a rule-based suggestion of which package might fit. It is not an offer, and it binds neither of us.
• Do not misuse the site: no automated submissions, no probing for weaknesses, no copying of its content, code or design for another business.
• We may change or take down any part of the site at any time.
• The site links to third-party services such as WhatsApp and Instagram. Their terms apply once you leave our site.
• The text, images, video, code and design of this site belong to us or our licensors.

Every project starts with a written quote or proposal. It sets out the scope, the price, the deposit, the schedule and anything specific to the job. The engagement begins when you accept it, in writing or by paying the deposit. If the proposal and these terms say different things, the proposal applies to that project.

Changes to scope after acceptance are agreed in writing, with any change to price or schedule. Dates depend on you giving us what we need on time, such as access, material and feedback. If that slips, the dates move with it.

• Prices are in UAE dirhams unless the quote says otherwise, and exclude VAT where it applies.
• The deposit set in the proposal is due before work starts. It is non-refundable, as set out in our refund and cancellation policy.
• The balance is due as the proposal states. Monthly packages are invoiced each month as the proposal states.
• Invoices are payable by the date on them. If an invoice is overdue we may pause work and hold back deliverables until it is paid.

You agree to:

• Give us accurate information about your business and the project.
• Give us access to the locations, people and equipment the shoot needs, at the agreed times.
• Obtain any permit the location or the shoot requires, unless the proposal says we will.
• Obtain consent from everyone who appears on camera, including staff and customers, and tell them the footage will be published.
• Hold the rights to any material you give us, such as logos, music, photos and footage, and make sure that using it for the project breaks no law and no one's rights.
• Review and approve deliverables within the time the proposal sets.

You are responsible for claims that arise from material you supply or from people whose consent you were required to obtain, and you will cover our losses if such a claim is made against us.

• Full usage rights in the final deliverables pass to you on delivery, once the project is paid in full. You may use them for your business in any medium, for as long as you like.
• We keep the right to show the work in our portfolio, on our website and in our own social channels, unless we agree otherwise in writing.
• Raw footage, project files and working material stay ours unless the proposal includes them.
• Music, stock footage, fonts and other third-party elements stay under their own licences. We license them for the agreed use. Using them beyond that may need a further licence.
• Material you give us stays yours. You grant us a licence to use it for your project.

We use AI tools in our work, in planning and in production, as described in our AI policy. By engaging us you accept that. Every deliverable is directed and checked by our team.

Each of us keeps the other's non-public information confidential and uses it only for the project. This does not cover information that is public, that the other side already had, or that the law requires to be disclosed. Our portfolio right above is an agreed exception for the finished work.

Our refund and cancellation policy sets out deposits, shoot cancellations and how monthly packages end.

• Our total liability for a project, whether in contract, tort or otherwise, is limited to the fees you have paid us for that project.
• We are not liable for indirect or consequential loss, such as lost profit, lost business or lost data.
• We are not liable for delays or losses caused by material or information you supplied, by third-party platforms, or by events outside our control.
• We are not responsible for how social platforms distribute, rank or restrict your content.
• Nothing in these terms limits liability that cannot be limited under UAE law, including for fraud, or for death or personal injury caused by negligence.

Neither of us is liable for failing to perform because of events beyond reasonable control, such as extreme weather, illness, power or network failure, government action or restrictions on movement. The affected side tells the other promptly, and we agree a new date. If the event makes the project impossible, either side may end it, and we settle up for the work done to that point.

• These terms and the proposal are the whole agreement for a project.
• If a clause is found invalid, the rest still applies.
• Neither side may assign the agreement without the other's written consent.
• Notices go by email: to us at hello@focalgrain.com, and to you at the address on your proposal.

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute, after we have first tried to resolve it between us in good faith.

We may update these terms. The version on this page, with the date at the top, applies to new engagements. Projects already under way stay on the terms accepted with their proposal. Questions go to hello@focalgrain.com.
